terms of service

These Terms of Service (the "Terms") govern your use of divehouse (the "Service"), operated by divehouse, LLC, a Texas limited liability company with offices at 6901 S. Custer Rd, McKinney, TX 75070 ("divehouse", "we", "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
The Service is intended for users in the United States.
1. eligibility
You must be at least 18 years old to use the Service. By creating an account or otherwise using the Service, you represent that you are 18 or older.
2. your account
We use passwordless email-code sign-in. You're responsible for safeguarding the email address used to access your account, and for any activity under your account. Provide accurate information when signing up and keep it current.
3. roles on the platform
You may use the Service in two capacities:
- As an attendee — to discover and engage with events
- As a member of an organization — bands, venues, or promoters who list and operate events
The same account can act as both. Organization access is granted by invitation; we may decline or revoke organization-side access at our discretion to protect the quality of the platform.
Performer placeholders:if an organization lists you as a performer at an event before you've signed up for divehouse, we may create a placeholder artist profile under your name so the listing has somewhere to point. You can claim, correct, or remove it by emailing support@divehouse.app, or through the claim flow when it lands. Until claimed, the profile is administratively maintained by divehouse.
Venue placeholders: when an organization selects a venue for an event, we may create a placeholder venue profile using publicly available business information (name, address, coordinates) from Google Places. Venue owners can claim their profile by emailing support@divehouse.app or through the claim flow when it launches. Until claimed, venue profiles are administratively maintained by divehouse.
4. user content & licenses
You retain ownership of content you upload (event flyers, descriptions, photos, etc.). By uploading content, you grant divehouse a non-exclusive, worldwide, royalty-free license to host, display, distribute, and create derivative works of the content as part of operating and promoting the Service.
You are responsible for the content you post. You represent that:
- You have the right to share it
- It does not infringe anyone's rights (including copyright, trademark, publicity, or privacy)
- It is not unlawful, defamatory, or harmful
5. acceptable use
You agree not to:
- Use the Service for unlawful purposes
- List events that violate local laws or ordinances
- Impersonate another person, organization, or entity
- Harass, threaten, or harm other users
- Scrape or systematically extract data from the Service
- Interfere with the Service's operation or security
- Attempt to circumvent access controls, rate limits, or paid features
We may suspend or terminate accounts that violate these rules.
6. events & attendance
Events listed on divehouse are operated by the organizations that list them. divehouse is not a party to event-attendance arrangements between you and an organization.
Accuracy of event details (date, time, venue, lineup, age restrictions, accessibility) is the listing organization's responsibility. divehouse takes no responsibility for inaccuracies, cancellations, or postponements unless caused by divehouse's own actions.
7. tickets & payments
When you purchase a ticket via divehouse's internal ticketing, you are purchasing from the organization that listed the event. The listing organization is the merchant of record and receives funds via their connected Stripe account; divehouse acts as the platform. divehouse charges a per-ticket fee disclosed at checkout, in addition to standard payment processing fees. Sales tax, where applicable, is collected and remitted by Stripe on the listing organization's behalf.
When tickets are sold via an external ticketing provider linked from the Service, the relationship is between you and that provider. divehouse is not a party to the transaction and is not liable for issues arising from off-platform ticketing.
Refunds and cancellations are governed by the organization's stated policy, except where divehouse policy or applicable law requires otherwise.
8. organization subscriptions
Organizations may subscribe to paid plans for additional features. Subscription terms (price, billing cycle, renewal, cancellation) are presented at signup. Subscriptions auto-renew unless cancelled before the renewal date. Fees are non-refundable except where required by law.
9. communications
By creating an account, you consent to receive transactional messages (sign-in codes, ticket confirmations, event-related updates for events you've RSVP'd to).
If you opt in to receive communications from organizations you follow, you may receive email and/or SMS from those organizations. Each message includes opt-out instructions.
10. intellectual property
All Service content not provided by users (logos, design, source code, layout, copy) is owned by divehouse or its licensors. You may not copy, modify, or distribute it without permission. The divehouse wordmark and logo are property of divehouse, LLC.
11. privacy
Our Privacy Policy describes how we handle your personal information. By using the Service, you agree to the practices described there.
12. disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
13. limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, divehouse SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL.
OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID divehouse IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
14. indemnification
You agree to indemnify and hold harmless divehouse, its affiliates, and personnel from claims arising out of (a) your use of the Service, (b) your content, (c) your violation of these Terms, or (d) your violation of any third-party right.
15. termination
You may stop using the Service at any time and delete your account. We may suspend or terminate accounts that violate these Terms or applicable law. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.
16. governing law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws provisions. Federal law may apply where it preempts state law.
17. arbitration & class-action waiver
Please read this section carefully. It affects how disputes between you and divehouse are resolved.
Any dispute arising out of or related to these Terms or the Service that cannot be resolved through informal negotiation (after at least 30 days of good-faith communication via support@divehouse.app) will be resolved by binding individual arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures. The arbitration will take place in Collin County, Texas, or remotely via video conference, at the arbitrator's discretion. Judgment on the award may be entered in any court of competent jurisdiction.
You and divehouse waive any right to a jury trial or to participate in a class action, class arbitration, or representative proceeding. Claims may be brought only on an individual basis. If this class-action waiver is found unenforceable, the remainder of this section will also be unenforceable, and the dispute will proceed in court subject to the venue provision below.
Where this arbitration clause does not apply (or is found unenforceable), disputes will be resolved exclusively in the state or federal courts located in Collin County, Texas, and you consent to personal jurisdiction there.
30-day opt-out: you may opt out of this arbitration provision by sending written notice to support@divehouse.app within 30 days of first accepting these Terms. Your notice must include your name, the email address used for your account, and a clear statement that you wish to opt out. Opting out has no other effect on your relationship with divehouse.
18. changes
We may update these Terms. Material changes will be communicated by email and/or in-app notice before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.
